Terms of Service

These Terms of Service (“Terms”) are a legal agreement between LexieHealth Inc. d/b/a LexieHealth (“LexieHealth”, “we”, “our”, “us”) and the organization or individual accepting these Terms (“Customer”, “you”).

1. Services

LexieHealth provides an AI-powered medical billing platform and related support services (collectively, the “Services”). Subject to these Terms and payment of applicable fees, LexieHealth grants Customer a limited, non-exclusive, non-transferable right to access and use the Services for internal business purposes.

2. Accounts and Access

  • Each user must have a unique account.
  • Customer is responsible for account security and all activity under its accounts.
  • Customer must promptly notify LexieHealth of suspected unauthorized use.

3. Acceptable Use Restrictions

Customer will not, and will not permit others to:

  • reverse engineer or attempt to derive source code from the Services;
  • bypass security controls or access unauthorized systems/data;
  • use the Services to create a competing service through prohibited extraction/scraping;
  • use the Services in violation of applicable law.

4. Customer Data and Rights

Customer retains ownership of Customer Data. Customer grants LexieHealth the rights necessary to host, process, and transmit Customer Data solely to provide, secure, maintain, and improve the Services in accordance with these Terms, the Privacy Policy, and applicable law.

5. AI Use and Data Improvement

  • LexieHealth does not use identifiable patient data for model training.
  • LexieHealth may use de-identified/anonymous data for product and AI performance improvement.

6. Customer Responsibilities

Customer is responsible for:

  • obtaining legally required notices/consents/authorities from patients and users;
  • ensuring lawful use of Services under PHIPA, PIPEDA, and other applicable laws;
  • reviewing and validating outputs before operational or clinical use;
  • maintaining downstream records in the customer’s own systems.

7. Clinical and Professional Judgment

LexieHealth Services support administrative and workflow functions. Customer and its users must exercise independent professional judgment and must not rely exclusively on AI-generated outputs.

8. Security and Privacy

LexieHealth maintains a security and privacy program with administrative, technical, and organizational safeguards designed to protect Customer Data.

9. Incident and Breach Communication

LexieHealth maintains incident response procedures and will notify affected customers without undue delay when a reportable breach affecting Customer Data is confirmed.

10. Fees and Payment

Fees, billing cycle, and payment terms are set out in order forms or subscription terms. Fees are non-refundable unless otherwise stated in writing.

11. Term and Termination

  • These Terms begin on acceptance and continue during the subscription term.
  • Either party may terminate for material breach if uncured after notice period.
  • Upon termination, access ends and data return/deletion handling follows contract and legal requirements.

12. Warranties and Disclaimers

Services are provided “as is” and “as available” except as expressly stated in writing. To the maximum extent permitted by law, LexieHealth disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

13. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages. Each party’s aggregate liability under these Terms is limited to amounts paid by Customer in the 12 months prior to the event giving rise to liability, except where prohibited by law.

14. Indemnity

Customer will indemnify LexieHealth against claims arising from Customer’s unlawful or unauthorized use of the Services, or Customer’s failure to obtain required consents/authorities.

15. Confidentiality

Each party will protect the other party’s confidential information using reasonable safeguards and use it only for purposes of these Terms.

16. Changes to Terms

LexieHealth may update these Terms from time to time. Material changes will be communicated using reasonable notice methods. Continued use after effective date constitutes acceptance.

17. Governing Law

These Terms are governed by the laws of Ontario and applicable Canadian federal laws. Courts of Ontario have exclusive jurisdiction, unless otherwise required by law.
